Terms of Service

Effective September 4, 2026. Nanza LLC.

The short version. Nanza builds, runs and looks after software for you, using AI agents supervised by our platform. You describe what you want; we build it, host it, and keep it healthy. Your app and your code are yours. Paid plans renew until you cancel, and you can cancel any time from Settings. AI does the building, so you review what it makes before you rely on it. 1. Who we are and what these terms cover

Nanza LLC ("Nanza", "we", "us") operates nanza.com and the Nanza platform: the web application, the AI agents and the Manager assistant that work inside it, the previews, monitoring and production hosting we provide for the apps built on it, and the related APIs, command-line tools and documentation (together, the "Service").

These Terms of Service (the "Terms") are a binding agreement between you and Nanza. "You" means the person or organization that creates an account, and every person that account invites. By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle information and is part of this agreement.

If you accept on behalf of a company or another organization, you confirm that you have the authority to bind it, and "you" includes that organization. If you have a separate signed agreement with Nanza (for example an Enterprise order), that agreement controls where it conflicts with these Terms.

2. Eligibility and accounts

The Service is for businesses and professionals. You must be at least 18 years old and able to enter into a contract to use it. It is not intended for personal, family or household use, and not for anyone under 18.

You agree to give us accurate account information and keep it current, including the email address we use to reach you about your account, your apps and your bill. You are responsible for keeping your password, API tokens and other credentials secret, for everything done through your account, and for the people you invite into it. Tell us at once at hello@nanza.com if you believe your account has been compromised.

An account has one owner. The owner is responsible for the account's plan, its bill, and the choices its members make. Members act with the permissions the owner or an administrator gives them, and the owner can remove members at any time.

3. What the Service does

Nanza turns a description of an app into a working, hosted application and then keeps it working. In practice that means:

  • Building. You describe what you want in plain language. AI agents, working from a template Nanza maintains, write and change the code of your app in a source repository that belongs to you.
  • Reviewing. You see the result at a preview link, talk to your Manager (an AI assistant scoped to your account) to ask for changes, and approve updates by using the app.
  • Running. On paid plans we publish your app to production hosting, on a Nanza address or your own domain, with SSL, backups and monitoring.
  • Operating. Monitoring watches your app for errors and performance problems, and agents propose or make fixes within the limits you set.

The work is done by AI agents that our platform supervises and, on some plans, by our team. We do not promise any particular result, that the agents will interpret a request the way you meant it, or that a build will succeed on the first try. Section 5 explains what that means for you.

4. Plans, fees and billing

4.1 Plans

The plans, what each includes, and the current prices are described on nanza.com and in your account's Settings. At the time of these Terms they are:

  • Starter is free. It includes your first app, a fixed number of included builds paid for by Nanza, a live preview link, your Manager, and monitoring. After the included builds you connect your own AI provider account to keep building (section 5). Starter has limits on the number of projects and on builds running at once, and it does not include production hosting.
  • Small Business is a paid subscription, billed monthly or yearly, that adds production hosting on your own domain, the ability to download your code, more projects and concurrent builds, scheduled tasks, and priority support. It also expects you to bring your own AI provider account.
  • Enterprise is priced per customer under an offer we send you. It can include your own infrastructure, custom workflows and agents, and team features, and it can be paid by card or by invoice.

Fair-use limits apply to every plan so that one account cannot degrade the Service for others. We will tell you if you are approaching one.

4.2 Payment and renewal

Paid subscriptions are billed in advance and renew automatically at the end of each billing period (monthly or yearly) until you cancel. Payments are processed by Stripe. Nanza does not store your full card number. By subscribing you authorize us and Stripe to charge your payment method for each renewal and for any taxes that apply.

Enterprise subscriptions paid by invoice are due by the date printed on the invoice. Where an Enterprise offer includes a number of seats or a custom price, the offer describes what you are buying and forms part of these Terms once you accept it.

4.3 Taxes

Prices are in US dollars and exclude taxes. Where we are required to collect sales tax, VAT, GST or a similar tax, we add it to your bill based on the billing address you provide. If you give us a valid tax identification number, we may treat the sale accordingly. You are responsible for any taxes we are not required to collect.

4.4 Price changes and promotions

We may change the price of a plan. A change applies to you from your next renewal after we have given you at least 30 days' notice by email. If you do not want to pay the new price, cancel before the renewal. Promotion codes and credits are subject to the conditions stated when we offer them, cannot be exchanged for cash, and may be withdrawn if they are misused.

4.5 Cancellation and refunds

You can cancel a subscription at any time from Settings, Your Plan. Cancellation takes effect at the end of the current billing period; you keep the plan until then. Except where the law requires otherwise, fees are not refundable and we do not give credit for partial periods or for time you did not use the Service. If we materially reduce what a plan includes during a period you have paid for, contact us and we will work out a fair adjustment.

4.6 Failed payments and what happens when a paid plan ends

If a payment fails we tell you and retry for a period. Your plan keeps working while we retry. If payment is not made after the retries, the subscription ends and the account returns to the Starter plan. Enterprise accounts paying by invoice that are seriously overdue may instead be locked, which pauses builds, deploys and previews until the invoice is paid, while your account and data stay available to you.

When a Small Business plan ends, whether because you cancelled or because payment failed:

  • Nothing is deleted. Your projects, code, board and previews stay available on Starter, within Starter's limits. Projects beyond those limits are locked (readable but not runnable) until the plan allows them again.
  • A published production app stays online for a grace period of 14 days. We remind you before the end of that period. If you have not resubscribed by then, we take the app offline and release its hosting. Your code and project remain, and resubscribing lets you publish again.
  • Scheduled and recurring tasks pause and resume if you resubscribe.

5. AI agents, AI providers and included builds

5.1 AI output needs your review

The agents that build and operate your app are AI systems. They are capable and supervised, but they are probabilistic: they can misunderstand a request, produce code that does not do what was asked, make a change with side effects, or miss something a careful engineer would catch. You are responsible for reviewing what is built before you rely on it, for testing it against your own requirements, and for deciding what to publish. Approving an update or publishing an app is your decision.

5.2 Your AI provider account

Beyond the builds included with Starter, the agents run on an AI provider account that you connect (for example an Anthropic or OpenAI account), and that provider bills you directly for what the agents use. You are responsible for that account, for its terms, for keeping enough credit or quota available, and for any charges it incurs. When your provider account is not available, builds and Manager conversations that need it will pause until it is.

5.3 Included builds

Included builds run on Nanza's own provider account at no charge to you. They are a fixed allowance for getting your first app built, not an ongoing entitlement. A build that fails for reasons on our side is not counted against your allowance. We may cap the size of an included build and may pause an account whose use of included builds looks automated or abusive.

5.4 What the agents may do in your account

Agents act within your account: they read and change your app's code, run and test it, and, on your instruction, deploy it and read or change data in your app's production environment. Actions against production run through a brokered, audited path under the permissions you and your team hold. You are responsible for the instructions you and your members give, and for reviewing the results, in the same way you would be for a contractor you directed.

6. Your content and your code

6.1 What is yours

You own what you bring to Nanza and what is built for you: your descriptions, briefs, files, data, the content of your apps, and the source code in your project repositories, including the changes agents make to it. Nanza claims no ownership of your app.

Apps are built from a template that Nanza maintains and improves. To the extent parts of that template remain in your app, Nanza grants you a perpetual, worldwide, non-exclusive, royalty-free license to use, copy, modify and distribute those parts as part of your app. Open-source components included in the template or added by the agents are governed by their own licenses, which you agree to respect.

6.2 The license you give us

So that we can provide the Service, you grant Nanza a worldwide, non-exclusive license to host, store, copy, run, display, transmit, back up and process your content and code, and to share it with the third-party services we use to build, run and monitor your app (section 9 and the Privacy Policy), including sending prompts, code and telemetry to AI providers. This license lasts only as long as needed to provide the Service to you and to meet our legal obligations, and it does not give us the right to use your code or data to train our own AI models or to offer your app to anyone else.

6.3 Your responsibilities for your content

You confirm that you have the rights needed to give us this license, and that your content and your app do not infringe anyone's rights or break any law. If your app collects information from its own users, you are its operator: you are responsible for their terms, their privacy notice, and compliance with the laws that apply to your app and its users.

6.4 Downloading and leaving

On plans that include it you can download your code at any time from the project's settings, and your repository can be transferred to you on request. Section 13 explains what happens to your content when an account is closed.

6.5 Feedback

If you send us ideas, suggestions or feedback about the Service, we may use them without restriction or payment. Feedback is not confidential and does not include your content or code.

7. Acceptable use

You agree not to use the Service, and not to have an app built or run on it, to:

  • break the law, infringe someone's intellectual property or privacy, or defame or harass anyone;
  • build, host or distribute malware, phishing, fraud, spam or anything designed to attack, overload or gain unauthorized access to any system, including ours;
  • process regulated data such as protected health information, cardholder data or data about children, unless you have a written agreement with us that covers it;
  • probe, scan, reverse engineer or interfere with the Service or its security, or use it to attack or test other people's systems without their permission;
  • circumvent plan limits, included-build allowances or fair-use limits, share one account across several businesses, or resell the Service without our written agreement;
  • use the Service to build a competing service by copying our platform, agents or template, or to extract our prompts and internal configuration;
  • send us or make the agents work on content that is illegal, or that you do not have the right to use.

We may investigate suspected violations and remove content, pause builds or suspend accounts to protect the Service, our customers or others (section 13).

8. Hosted apps and production

8.1 Hosting

On plans that include production hosting, we run your app on infrastructure we rent from cloud providers, under a Nanza address or a domain you control. We manage the servers, SSL, deployments and monitoring. Uptime, response time and delivery targets we publish or discuss are goals, not guarantees; the Service depends on providers and networks we do not control. We may perform maintenance, and we try to give notice when it will be noticeable.

8.2 Domains and DNS

If you connect your own domain, you are responsible for owning it, keeping it registered and pointing it where we ask. If you register a domain through the Service, the registrar's terms also apply and the registration is in your name or for your benefit.

8.3 Backups

We take regular backups of hosted app databases and keep them for a limited period as a safety net for our operations. They are not a substitute for your own copies: you are responsible for exporting anything you cannot afford to lose, and we do not guarantee that a specific point in time can be restored.

8.4 Your app's users and data

Your app's users are your users. You decide what your app collects and does with it, you are responsible for the notices and consents that requires, and you must keep your app's use of personal data lawful. Nanza processes that data only to provide the Service to you, on your instructions, as described in the Privacy Policy. If you need a data processing agreement, ask us.

8.5 Security is shared

We protect the platform: isolation between accounts, encrypted storage of credentials, access controls, monitoring, and audited production access. You protect your side: your passwords and tokens, the secrets you store for your app, who you invite, and what you instruct the agents to do. Tell us promptly about any vulnerability or incident you become aware of.

9. Third-party services

The Service is built on and connects to services run by others, including Stripe for payments, cloud providers for hosting, GitHub for source repositories, AI providers for the agents, and email, messaging and domain providers where you use those features. The Privacy Policy lists the ones we use on your behalf. Their terms apply to your use of them through Nanza, and connecting your own accounts (an AI provider, GitHub, a cloud account) means you are responsible for those accounts and their charges. We are not responsible for a third-party service's availability, changes, or actions, but we will work to limit the effect on you.

10. Confidentiality and data

We treat your code, your data and the details of your business as confidential. We access them only to provide the Service, to keep it secure, to investigate abuse, to help you when you ask for support, or when the law requires it. Our people and the automated systems that act for us are bound by this. How we collect, use, share and keep information is explained in the Privacy Policy.

11. Nanza's intellectual property

The Service itself, including the platform, the agents and their prompts, the Manager, the template your app starts from (other than the license in section 6.1), our documentation, our brand and our trademarks, belongs to Nanza and its licensors and is protected by law. These Terms do not give you any right to use them except as needed to use the Service, and no right to use the Nanza name or logo without our written permission.

12. Preview and beta features

We sometimes release features early, marked as preview, beta or experimental. They may change, break or be withdrawn without notice, may have reduced support, and are provided as is. Use them at your own discretion.

13. Suspension and termination

13.1 By you

You can close your account at any time from Settings or by writing to us. Closing an account cancels any subscription at the end of its current period, takes your hosted apps offline, stops previews and sandboxes, and deletes your account data on the schedule described in the Privacy Policy. Download anything you want to keep first.

13.2 By us

We may suspend or terminate your access, or remove specific content, if you materially breach these Terms, if your account is seriously overdue, if we are required to by law, or if your use creates a security, legal or operational risk to the Service or to others. Where it is reasonable to do so we will tell you first and give you a chance to fix the problem. We may also end the Service or a plan with at least 30 days' notice, in which case we refund any prepaid fees for the period after the end date.

13.3 After termination

Sections that by their nature should survive (including 4 for amounts owed, 6.2 for as long as we still hold your content, 6.5, 10, 11, 14, 15, 16, 18 and 19) survive termination.

14. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, Nanza disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service, or any app built on it, will be uninterrupted, error-free, secure, or meet your requirements, or that AI output will be accurate, complete or fit for any purpose. Nothing the agents or the Manager produce is legal, financial, medical or other professional advice.

Some jurisdictions do not allow some of these exclusions, so some may not apply to you.

15. Limitation of liability

To the fullest extent the law allows, Nanza and its members, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising out of or related to the Service or these Terms, however caused and under any theory of liability, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of the amounts you paid Nanza in the 12 months before the event giving rise to the claim and 100 US dollars.

These limits are an essential part of the bargain between us; the Service could not be offered at these prices without them. They do not limit liability that cannot be limited by law.

16. Indemnification

You will defend, indemnify and hold harmless Nanza and its members, employees and contractors from claims, damages, losses and expenses (including reasonable legal fees) arising out of or related to your apps and their content, your and your members' use of the Service, your instructions to the agents, your violation of these Terms, or your violation of any law or of anyone's rights. We will tell you promptly of any such claim and let you control the defense, provided you do not settle in a way that admits fault on our behalf or imposes obligations on us without our consent.

17. Changes to the Service and to these terms

The Service evolves, and we may add, change or remove features. We may also change these Terms. If a change is material we will give you at least 14 days' notice by email or in the app before it takes effect, except where a change is required by law or addresses a security issue, in which case it may take effect sooner. Continuing to use the Service after a change takes effect means you accept it; if you do not, close your account before then. The date at the top says when the current version took effect.

18. Governing law and disputes

These Terms are governed by the laws of the State of Arizona and the federal laws of the United States, without regard to conflict-of-law rules. Before starting any formal proceeding, you agree to write to us at hello@nanza.com and give us 30 days to resolve the matter with you informally; we commit to the same. Any dispute that is not resolved that way will be brought in the state or federal courts located in Arizona, and both of us consent to their jurisdiction, except that either of us may seek an injunction in any court to protect intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. General terms

  • Entire agreement. These Terms, the Privacy Policy and any Enterprise offer or written agreement you have with us are the whole agreement between us about the Service, and replace any earlier terms.
  • Assignment. You may not transfer these Terms or your account without our consent. We may transfer them to an affiliate or a successor to our business, and will tell you if we do.
  • Notices. We send notices to the email address on your account. You send notices to hello@nanza.com.
  • Events beyond our control. Neither of us is liable for delay or failure caused by events beyond our reasonable control, such as outages at a provider we depend on, natural events, or government action, except for the obligation to pay.
  • Export and sanctions. You may not use the Service where it is prohibited by US export or sanctions law, and you confirm you are not a person or in a place subject to those restrictions.
  • Severability and waiver. If a part of these Terms is found unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it.
  • No third-party beneficiaries. These Terms are for you and Nanza; they do not create rights for anyone else.
  • Language. These Terms are written in English. Any translation is for convenience; the English version governs.
